(the &#8220;Company&#8221; or &#8220;ACROBATICA&#8221;), a company specialising in double-rope access building works, listed on Euronext Growth Milan (ticker: EDAC) and on Euronext Growth Paris (ticker: ALEAC), announces that the Ordinary Shareholders&#8217; Meeting was held today.<\/p>\n\n\n\n<p class=\"\">The Ordinary Shareholders&#8217; Meeting approved the separate financial statements of EdiliziAcrobatica S.p.A. for the year ended 31 December 2025, showing a net loss of Euro 15.09 million, as submitted by the Board of Directors, together with the related Report on Operations prepared by the Board of Directors.<\/p>\n\n\n\n<p class=\"\">The Ordinary Shareholders&#8217; Meeting also acknowledged the Group consolidated financial statements for the year ended 31 December 2025, reporting a loss of Euro 17.12 million.<\/p>\n\n\n\n<p class=\"\">The Ordinary Shareholders&#8217; Meeting further resolved to allocate the entire result for the 2025 financial year of EdiliziAcrobatica S.p.A. to the item &#8220;Retained earnings\/(losses) carried forward&#8221;.<\/p>\n\n\n\n<p class=\"has-text-align-center\">***<\/p>\n\n\n\n<p class=\"\">The Ordinary Shareholders&#8217; Meeting appointed the Board of Directors, based on the sole list submitted, which will remain in office for the next three financial years and therefore until the date of the Shareholders&#8217; Meeting called to approve the financial statements for the year ending 31 December 2028, and determined the number of Board members at five.<\/p>\n\n\n\n<p class=\"\">Specifically, the Shareholders&#8217; Meeting appointed:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Mr Riccardo Banfo, Chairman;<\/li>\n\n\n\n<li class=\"\">Ms Anna Marras, Director;<\/li>\n\n\n\n<li class=\"\">Ms Susanna Giardina, Director;<\/li>\n\n\n\n<li class=\"\">Mr Simone Muzio, Director;<\/li>\n\n\n\n<li class=\"\">Mr Marco Caneva, Independent Director.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:15px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"\">The Shareholders&#8217; Meeting also resolved to set the gross annual fixed remuneration of each of the above-mentioned Directors at Euro 10,000.00, plus VAT, expenses and statutory contributions, for each financial year, and delegated to the Board of Directors, having heard the opinion of the Board of Statutory Auditors, the definition and\/or supplementation, in accordance with the Articles of Association and applicable regulations, of the remuneration package applicable to directors holding specific offices, including fringe benefits and any end-of-term indemnity.<\/p>\n\n\n\n<p class=\"has-text-align-center\">***<\/p>\n\n\n\n<p class=\"\">The Ordinary Shareholders&#8217; Meeting appointed the members of the Board of Statutory Auditors, who will remain in office for the next three financial years and therefore until the date of the Shareholders&#8217; Meeting called to approve the financial statements for the year ending 31 December 2028.<\/p>\n\n\n\n<p class=\"\">The Board of Statutory Auditors is composed as follows:<\/p>\n\n\n\n<p class=\"\"><strong>Standing Statutory Auditors<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Mr Fabio Coacci, Chairman;<\/li>\n\n\n\n<li class=\"\">Mr Giorgio Frediani;<\/li>\n\n\n\n<li class=\"\">Mr Stefano Marchese.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:15px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"\"><strong>Alternate Statutory Auditors<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">Mr Massimo Pretelli;<\/li>\n\n\n\n<li class=\"\">Mr Giorgio Polidori Luciani.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:15px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"\">The Shareholders&#8217;
